A. Force Majeure:
If, after the contract is entered into, the Georgia Academy of Physician Assistants (“GAPA”) fails or is unable to provide an Exhibitor/Sponsor with the opportunity to exhibit at the GAPA Conference, due to fire, strikes, authority of the law, act of God, or any other cause or reason beyond GAPA's control, and the Exhibitor/Sponsor is not responsible for such failure, the Exhibitor’s sole and exclusive remedy shall be the return of all monies that it has paid in connection with the Application/Contract. In such case, GAPA shall bear no further liability or responsibility under this agreement.

B. Responsibility for Property:
The Exhibitor/Sponsor agrees to be responsible for his/her own property. Exhibitor/Sponsor shall release and hold harmless and indemnify GAPA from any and all claims, obligations, liabilities, causes of action, lawsuits, damages, and assessments, including legal fees, that result from an allegation of negligence on the part of the Exhibitor/Sponsor, GAPA, or third parties in the use of the exhibit space or activities in connection with the use of exhibit space.

C. Acceptance of this application as an agreement between the Exhibitor/Sponsor and GAPA will occur only when an official confirmation packet has been sent by GAPA via email. Disapproval of an Exhibitor/Sponsor, per the terms outlined in the Exhibitor/Sponsor Regulations, will result in termination of the agreement without penalty to either party.

D. Exhibitor/Sponsor Regulations Agreement:
The undersigned acknowledges and agrees to the Exhibitor/Sponsor Regulations as published by GAPA (available upon request), which are considered to be part of this agreement between the Exhibitor and GAPA.

E. Cancellation Policy:
The undersigned acknowledges understanding of the GAPA Exhibitor/Sponsor Cancellation Schedule:

  • 60 or more days prior to the conference - full refund.
  • 30-60 days prior to the conference - 50% refund.
  • 30 days or less prior to the conference - no refund.

F. Warranty of Authority:
The Exhibitor/Sponsor and the person signing this application on its behalf represent and warrant that the undersigned person is a duly authorized and appointed agent of the Exhibitor/Sponsor and is fully empowered to bind the Exhibitor/Sponsor to all provisions contained in this agreement.

G. Transactions: Exhibitors and sponsors agree that no financial transactions or sales of goods/services will be conducted between exhibitors/sponsors and attendees during the conference. This policy is strictly enforced to maintain the integrity of the event. Any violation of this policy may result in immediate removal from the event without refund and potential exclusion from future events.

Disclaimer:

The Exhibitor/Sponsor assumes full responsibility and agrees to indemnify and defend GAPA, the Jekyll Island Convention Center, and their respective employees and agents against any claims or expenses arising from the use of the exhibition premises. The Exhibitor acknowledges that neither CAPA nor the Jekyll Island Convention Center provides insurance coverage for the Exhibitor’s property. It is the sole responsibility of the Exhibitor to obtain such insurance.

By signing this contract, we (the exhibitor and/or sponsor) agree to support the listed opportunities. Furthermore, our signature indicates an understanding and agreement to comply with all GAPA policies, rules, regulations, terms, and conditions. This contract becomes binding upon signature.
